01The agreement

These terms are the agreement between Visiroll (“Visiroll”, “we”) and the organization that creates a workspace (“you”). Creating a workspace, accepting an invitation, or using the service means accepting them.

If you accept on behalf of a company or an agency, you confirm you are authorized to bind it. Our handling of personal data is described in the Privacy Policy, which forms part of this agreement.

02What the service does

Visiroll hosts video files, converts them into web-ready adaptive renditions, delivers them through a content delivery network, provides an embeddable player, and reports how that video is watched.

It is a service for video published on websites. It is not general file storage, an archive, a backup service, a live-streaming platform, or a video editor. You should keep your own copy of every master file you upload.

03Workspaces, members, and roles

A workspace is owned by your organization. Members hold one of three roles:

• Owner — full control, including inviting and removing members, changing roles, and deleting the workspace.
• Admin — can manage clients, websites, videos, and settings, but cannot manage membership.
• Viewer — read-only access to the library and reporting.

You are responsible for keeping credentials secure, for the actions taken by everyone you invite, and for removing members who should no longer have access. Tell us promptly if you believe an account has been compromised.

04Your content stays yours

You keep all rights to the videos, images, and titles you upload. You grant us only the permission needed to run the service: to store, validate, transcode, generate posters and thumbnails, cache, and deliver your content to the websites and viewers you authorize. That permission ends when you delete the content or close your workspace.

You confirm that you hold the necessary rights to everything you upload — including music, footage, and the likeness and voice of anyone appearing in it — and that publishing it does not infringe anyone else’s rights.

05Acceptable use

You may not use Visiroll to store, deliver, or promote:

• Content you do not have the rights to publish.
• Material that is illegal where it is published, including child sexual abuse material, which we report to the competent authorities.
• Content that incites violence or harasses, threatens, or defames a person.
• Malware, phishing pages, or attempts to bypass the security or usage limits of the service.

You also may not resell raw storage or bandwidth as a standalone commodity, use the service as a generic file host, or attempt to inflate or manipulate the analytics of any workspace, including your own.

Agencies may publish and manage video on behalf of their clients, and may charge those clients for that work. That is the intended use of the product.

06Service limits

Uploads and delivery are subject to published product limits:

Storage and delivery allowances depend on your plan. If usage substantially exceeds what your plan includes, we will contact you to agree on a suitable plan before restricting anything. We may change these limits with reasonable notice; reductions will not apply mid-term to content you have already published.

07Availability and support

We aim to keep the service continuously available and to give advance notice of planned maintenance. Processing time depends on the length and complexity of each upload. Support is provided by email at support@visiroll.com during European business hours.

08Fees

Paid plans are billed in advance for the period stated in your order, and fees are exclusive of VAT unless stated otherwise. Where a workspace is offered free of charge — during a pilot, trial, or evaluation — we may change or end that arrangement with reasonable notice.

If an invoice remains unpaid after we have notified you, we may suspend the workspace. We will not delete your content because of non-payment without giving you a clear opportunity to export it first.

09Ending the agreement

You may stop using Visiroll and delete your workspace at any time. Deleting a video removes its stored media and analytics; deleting a workspace removes its members, clients, websites, videos, and reporting.

We may suspend or end an account that breaches these terms, that puts the service or other customers at risk, or that we are legally required to stop serving. Except where the law or an immediate risk requires otherwise, we will tell you why and give you a chance to put it right.

After termination we delete your content on the retention schedule described in the Privacy Policy. Export what you need before you close the workspace.

10Warranties and liability

The service is provided as it is. Beyond what these terms state, and to the extent the law permits, we make no other warranties, including any implied warranty that the service will be uninterrupted, error-free, or fit for a particular purpose.

We are not liable for lost profits, lost revenue, or lost or corrupted content, and our total liability under this agreement is limited to the fees you paid us in the twelve months before the event giving rise to the claim. Nothing here excludes liability that cannot lawfully be excluded, including for death, personal injury, fraud, or wilful misconduct.

You are responsible for keeping your own copies of your master files.

11Changes, law, and contact

We may update these terms as the product develops. We will move the “last updated” date and notify workspace Owners by email before material changes take effect. Continuing to use the service after that date means accepting the new terms.

This agreement is governed by the laws of Romania, and disputes are subject to the courts of Romania, without affecting any mandatory consumer protections available where you live.
